The total liability of Kivellan Infrastructure Ltd for any claim arising from or relating to these Terms or our services shall not exceed the amount paid by the client for the specific service in question or $1,000 CAD, whichever is greater.

We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. While we strive to maintain high standards of service quality, we cannot guarantee results or specific outcomes.

9. Payment Terms

Unless otherwise specified in a service agreement:

• Invoices are payable within 30 days of issuance
• A deposit or retainer may be required before service commencement
• Late payments may result in suspension of services and accrual of interest at 1.5% per month
• All fees are exclusive of applicable HST/GST unless otherwise noted
• Travel and material expenses may be billed separately

10. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, findings, and recommendations shared during the service engagement. Confidential information may only be disclosed with prior written consent, except where required by law.

We may use anonymized case studies and general methodologies in marketing materials, but will not identify clients or disclose sensitive findings without explicit permission.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kivellan Infrastructure Ltd, its officers, employees, and agents from any claims, damages, liabilities, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your misuse of our services
• Your breach of applicable laws
• Your failure to follow our recommendations or instructions

12. Termination

Kivellan Infrastructure Ltd reserves the right to terminate services immediately if:

• Payment is not received within agreed terms
• You violate these Terms or applicable laws
• Continuing the service would be impractical or unsafe
• You request termination in writing

Upon termination, all outstanding fees become immediately due and payable.

Any disputes arising from these Terms or our services shall be governed by the laws of Ontario, Canada, and subject to the jurisdiction of the Ontario courts. Both parties agree to attempt good-faith negotiation before pursuing legal action.

For minor disputes, either party may propose binding or non-binding mediation before initiating formal legal proceedings.

Kivellan Infrastructure Ltd reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website.
